それでは、1. Relationship With Apple; Apple ID and Password. から。




この第１条には、Apple社とデベロッパーとの関係について、大きく二つの要素に分解して規定されています。一つは法的な契約履行能力の側面、もう一つがIDの管理責任の側面です。以下、条文を分解しながら見ていきます。

You understand and agree that by becoming a Registered Apple Developer, no legal partnership or agency relationship is created between you and Apple. Neither you nor Apple is a partner, an agent or has any authority to bind the other. You agree not to represent otherwise.

まず冒頭で強調されているのが、「デベロッパーはApple社となんのpartnership関係もなければagencyでもない」という点です。世界には、弱者となりがちな代理店を強制的に保護する代理店保護法を定める国が少なくありません（参考：JETRO 代理店契約で自国企業（代理店）を保護している地域とその概略）。このような国の法律上、partnershipやagencyのような親密な契約関係とみなされてしまうと、例えばデベロッパーが販売機会をロスするような事態となった場合にその補償をしなければならないとか、Appleから契約を任意に解除できないといった責任がApple社側に発生してしまう可能性があり、これを明示的に、はっきりと排除するために、このような前置きが冒頭に置かれています。こういった契約文化は日本にはあまりないものですので、初めてこの手の規約を読んだ方には何の事かまったくわからない規定だと思いますが、そういうものなんだ、と思っておいていただければ十分かと思います。

You also certify that you are of the legal age of majority in the jurisdiction in which you reside (at least 18 years of age in many countries) and you represent that you are legally permitted to become a Registered Apple Developer. This Agreement is void where prohibited by law and the right to become a Registered Apple Developer is not granted in such jurisdictions.

そして次に、デベロッパーに契約の履行能力が法的にあること、具体的にはその国・地域における未成年者・制限能力者でないことの確認と、そうであった場合には契約そのものが無効となる旨が書かれています。国によって成人年齢が異なるため（アメリカでは州によっても異なります）、「20歳以上」などと書いてしまうと国によっては通用しない規定になってしまう点、グローバル企業ならではの工夫された規定のされ方をしていますね。

Unless otherwise agreed or permitted by Apple in writing, you cannot share or transfer any benefits you receive from Apple in connection with being a Registered Apple Developer. The Apple ID and password you use to login as a Registered Apple Developer cannot be shared in any way or with any one. You are responsible for maintaining the confidentiality of your Apple ID and password and for any activity in connection with your account.

次に、デベロッパーは、この契約でApple社から与えられる利益を、第三者に譲ってはならないことが規定されています。そしてその義務を補強するために、IDとPasswordはシェアしてはならず、その管理責任がデベロッパー本人にあることを明記しています。なお、このパートの文頭において、Appleが書面によって許諾する場合が例外とされているのは、アカウントの譲渡をオフィシャルに認めることがあることを示唆しているようです。

Notwithstanding the foregoing restrictions in this Section 1, if you are the parent or legal guardian of individuals between the ages of 13 and the legal age of majority in the jurisdiction in which you reside, you may allow such individuals to share your Apple ID and password for their use solely under your supervision and only in accordance with this Agreement. You are responsible for such individuals’ compliance with and violations of this Agreement and any other Apple agreements.

なお、13歳以上の未成年者のデベロッパーの保護者については、その監督を目的としてIDとPasswordをシェアしてもよいとされています。「Notwithstanding the foregoing...」という普通の英文では見慣れない言い回しがありますが、「前記にもかかわらず」という英文契約上の但し書きの決まり文句です・・・っていう英文契約の解説はどうでもいいですかね。ところで、13歳未満の未成年者は保護者が監督しても利用できないの？という疑問が湧くところですが、Appleに限らず、各社プラットフォーム規約では13歳未満の児童の利用を禁じているところがほとんどです。この理由については、別途他のところで触れることになると思います。
